DOMINION RETAIL, INC.
RESIDENTIAL ELECTRICITY SALES AGREEMENT - BGE (Rate Classes R, ES and RL)

GENERAL CONDITIONS
Dominion Retail, Inc. (“Dominion Retail”) is licensed by the Maryland Public Service Commission (“MPSC”) to supply electricity services in Maryland. Our license number is IR-252. Dominion Retail will set the prices for electricity supply service that you pay. Dominion Retail agrees to sell electricity supply service to you for the price and upon the terms & conditions set forth in this Residential Electricity Sales Agreement (“Agreement”) and accompanying offer. The Offer Letter contains important information and should be considered part of the Agreement. You agree to receive and pay for electricity supply services from Dominion Retail in accordance with the Agreement. You understand that the prices charged by Dominion Retail for electricity supply service are the commodity prices for electricity, do not include any applicable taxes or utility charges, and are not regulated by the MPSC. The MPSC regulates the distribution services and charges provided by your utility company, Baltimore Gas & Electric Company (“BGE”). The Federal Energy Regulatory Commission (FERC) regulates transmission prices and services.

ELECTRICITY SUPPLY SERVICE
Basic Service Plan
Dominion Retail will begin furnishing your electricity supply service on a date set by BGE. You will pay the agreed-upon rate(s) (price) per kWh (fixed or variable) for the stated term(s) of this Agreement. The “Initial Term” of this agreement begins on your meter read date after BGE processes your enrollment and ends on December 31, 2011. Your price for electric generation and transmission service during the Initial Term will be $0.0967 per kWh. Service with Dominion Retail will always start and end on your BGE scheduled meter read date and according to your stated term. As your electricity supply service provider, Dominion Retail will arrange for the delivery of electricity to your service location. It is your responsibility to inform Dominion Retail and BGE of your current tax status and furnish appropriate documentation. You are responsible for BGE’s charges for services and for applicable taxes.

SERVICE RENEWAL
At least forty-five (45) days prior to the expiration of the Initial Term, Dominion Retail may provide you with written notification of a proposed renewal fixed price and term. You may elect to renew or cancel at that time without penalty. Alternatively, if we do not adjust the fixed price upon expiration of the Initial Term, then the price to be charged thereafter will be a market-based variable price that may be adjusted each month based on prevailing market conditions applicable to the delivery and sale of electricity in the BGE service territory. This monthly variable pricing plan will continue in force on a month-to-month basis until either party cancels the Agreement.

BILLING AND PAYMENT
You will receive a single bill from BGE for its charges as well as Dominion Retail’s charges. BGE will set your payment due date and payment address. Bills not paid in full by the due date will incur a late payment fee on unpaid balances in accordance with BGE’s billing policies and procedures. Budget billing is available upon request. Your budget amount will be the combination of a monthly BGE amount for distribution (delivery) and a monthly budget amount for Dominion Retail’s electricity supply charges. Any settlements or adjustments to either company’s monthly budget bill amounts may not occur at the same time. Dominion Retail reserves the right to make adjustments at any time.

TERMINATION BY CUSTOMER
Customers cancelling prior to the expiration of the Initial Term will be charged a $50 cancellation fee. In order to ensure that Dominion Retail has proper documentation of your cancellation, please call Dominion Retail at 1-866-303-9669. If you cancel this Agreement, the effective termination date will be on the next applicable meter read date. Should you terminate this Agreement, you will be returned to BGE’s Standard Offer Service unless choosing another electricity supplier.

TERMINATION OR AMENDMENT BY DOMINION RETAIL
Dominion Retail may terminate this Agreement upon fourteen (14) days written notice due to non-payment by you. Additionally, upon forty-five (45) days written notice, Dominion Retail may terminate outright or propose to amend this Agreement as a result of any regulatory, tariff or procedural change that may affect our ability to serve you under this Agreement. You will have fifteen (15) days to accept or decline any proposed amendment hereunder. The effective date of termination under this provision will occur on the next applicable meter read date, and upon termination with Dominion Retail, you will be returned to BGE’s sales service and all unpaid balances will immediately become due.

CHANGE OF RESIDENCE
You must notify both BGE and Dominion Retail in writing of a change in your residence within forty-five (45) days of such change. A final meter read will be made at your old address and your account will be closed and finalized with both BGE and Dominion Retail. If your change of residence is within BGE service territory, then Customer may have the option of executing a new energy supply service agreement with Dominion Retail at your new residence.

LIMITATION OF LIABILITY
You agree that in no event shall Dominion Retail be liable for any special, punitive, indirect, incidental or consequential damages as a result of nonperformance under this Agreement. There are no third party beneficiaries to this Agreement and none are intended by the parties. Any payments due under the terms of this Agreement shall survive termination for any reason.

ENTIRE AGREEMENT
You acknowledge that you understand and agree to this Agreement, which constitutes the entire agreement between you and Dominion Retail.

ASSIGNMENT
Dominion Retail may assign this Agreement to an affiliate or third party, in whole or in part. We will provide you a thirty (30) day notice of any assignment.

ELIGIBILITY
This offer expires November 29, 2010 and is limited to BGE residential electric rate class R, ES and RL customers only. This offer is limited to the first 25,000 customers who enroll.

INFORMATION RELEASE AUTHORIZATION
By entering into this Agreement, you authorize Dominion Retail to obtain information from BGE concerning your account that includes, but is not limited to: billing history, payment history, account number, historical and future electricity usage, meter readings, and characteristics of electricity service.
